Public Finance
The
Firm has broad experience and expertise in municipal financing, serving as bond counsel and underwriter’s counsel, in transactions involving municipalities, counties, utility, airport, and housing facility authorities, and other major issuers. Since 1992, the Firm has been listed among Municipal Bond Attorneys contained in The Bond Buyer's Municipal Marketplace ("The Red Book")
, and since that time has been involved in public
finance transactions totaling almost Eleven Billion
Dollars in volume.
The Firm was the first African-American
owned firm in the State of Tennessee to be
included in The
Redbook.

We have advised clients on all aspects of the
tax-exempt financing, and have worked with
regional and national banks and underwriters in
our public finance practice. Relevent
experience in this area includes:
Corporate
The Firm represents and
counsels clients in establishing, structuring, and
maintaining business entities, such as business
corporations, non-profit corporations, 501(c)(3)
tax-exempt corporations, subchapter S
corporations, limited liability corporations and
related business organizations, including
partnerships and joint venture structures. The Firm's transactional practice also focuses on contract drafting, review and negotiation in all aspects of business development, governance and growth.
The Firm also has substantial experience in
serving as special counsel to municipalities in
the areas of solid waste, recycling, airport noise
study and master plan update and minority business
participation issues.
The Firm has served as special
counsel to Shelby County, Tennessee and the City of
Memphis on various redevelopment
projects.
M/WBE Experience
The Firm has a long history of establishing, representing and counseling minority and women business
enterprises (M/WBE) beginning in 1979 with its representation as general Counsel
to the Tennessee Valley Center for Minority Economic Development, Inc.
Since that time, the Firm has successfully advocated on behalf of M/WBE firms in
the public, quasi-public and private sectors. The Firm represented the New
Memphis Arena Public Building Authority, which oversaw the construction of the
over $206 Million FedExForum, the largest public project ever undertaken by the
City of Memphis and County of Shelby, which was completed on time and within
budget while achieving an historic 25% M/WBE participation and over 60% local
participation.
Healthcare Law
The Firm has broad experience in the healthcare and behavioral care industry, having counseled managed care organizations (MCOs), behavioral health organizations (BHOs), primary care and home health care facilities, in addition to individual physicians, dentists, and other health care professionals.
